Supplier Terms of Service

These Supplier Terms of Service (“Terms”) govern your participation on the PAIGOS platform (“Paigos,” “Platform,” or “Service”) as a Supplier. By accessing or using the Platform as a Supplier, you agree to be bound by these Terms and all related policies.
1. Overview & Acceptance
Who Is a Supplier
A Supplier (“you”) is an individual or business that creates and sells travel packages on PAIGOS.
Acceptance of Terms
By using PAIGOS as a Supplier, you confirm that you have read, understood, and agree to these Terms and any additional policies referenced herein. If you do not agree, you may not participate as a Supplier.
Age & Authority
You represent that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal authority to enter into this agreement.
2. Account Creation & Onboarding
Account Security
You are responsible for safeguarding your account credentials. All activity under your account is deemed authorized unless you notify PAIGOS of suspected unauthorized use.
Accurate Information
All information you provide must be truthful, accurate, and up to date. PAIGOS reserves the right to suspend or terminate accounts containing false or misleading information.
3. Creation & Management of Travel Packages
Package Listings
As a Supplier, you create and manage travel packages (“Packages”) through the Platform. Each Package must clearly and accurately describe:
Itineraries
Pricing
Restrictions and special conditions
Suppliers are bound by PAIGOS’s refund and cancellation policies as displayed at the time of booking.
Compliance & Authenticity
You agree to:
Comply with applicable travel, advertising, and consumer protection laws (including FTC guidelines)
Ensure you own or have rights to all images, descriptions, and content used in Package listings
Pricing & Availability
You determine the pricing and availability of your Packages. PAIGOS does not guarantee sales volume, revenue, or audience reach.
Responsibility for Services
You (or your affiliated travel agency) are solely responsible for delivering all services advertised in your Packages, including accommodations, tours, flights, or experiences.
4. Marketing & Promotions
Supplier Communications
You may promote your Packages through:
Personal social media channels
Other approved marketing outlets
Where required by law or platform policy, you must disclose your role as the Supplier.
Use of AI Tools
PAIGOS may use AI tools to assist with drafting or distributing marketing templates. You remain fully responsible for the accuracy and legality of all final content you publish or share.
Marketing Materials License
By providing marketing materials (images, copy, branding assets), you grant PAIGOS a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute those materials in connection with operating and marketing the Platform.
5. Payments, Fees & Commissions
Transaction Processing
PAIGOS or its third-party payment processor handles traveler payments and refunds
You agree to comply with payment processor requirements, including providing tax documentation
Payouts
Payouts are facilitated after booking completion and payment capture
Payments are issued according to the schedule displayed on the Platform
Applicable fees or commissions are deducted prior to payout
You are responsible for all applicable taxes and reporting obligations
Chargebacks & Disputes
If a Traveler disputes a charge:
PAIGOS may place a temporary hold on associated funds
You agree to cooperate fully in dispute investigations, including providing documentation and timely responses
6. Cancellations & Refunds
Supplier-Initiated Cancellations
Travelers must receive a full refund if you cancel a Package before the trip begins
Repeated or unjustified cancellations may result in account suspension or termination
Traveler-Initiated Cancellations
You may define your own refund policy (e.g., full, partial, or non-refundable), provided it is clearly disclosed in the Package listing.
PAIGOS facilitates payment processing only; responsibility for refunds remains with you.
Force Majeure & Travel Disruptions
In cases such as natural disasters, pandemics, or strikes, you agree to make reasonable efforts to:
Accommodate Travelers, or
Provide refunds or alternatives consistent with your stated policies
7. Dispute Resolution With Travelers
First-Tier Resolution
You are the primary point of contact for Traveler complaints or claims and agree to make good-faith efforts to resolve disputes promptly.
PAIGOS Mediation
If a dispute is escalated, you authorize PAIGOS to:
Review relevant communications and bookings
Propose resolutions or issue refunds consistent with your policies
Repeated Claims
PAIGOS may suspend or remove Suppliers who accumulate unresolved claims or fail to maintain service quality.
8. Intellectual Property & Data Usage
Supplier Content License
By posting content that references PAIGOS Packages, you grant PAIGOS (and associated Influencers) a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use that content for marketing and promotion across PAIGOS platforms.
Platform Intellectual Property
All PAIGOS trademarks, logos, and proprietary materials are owned by PAIGOS or its licensors. Use without prior written permission is prohibited.
Publicly Available Data
PAIGOS may reference publicly available Supplier content for marketing or demonstration purposes. Participation as a Supplier constitutes acceptance of this usage unless otherwise agreed in writing.
9. Termination & Account Management
Termination by PAIGOS
PAIGOS may suspend or terminate your account for:
Violations of these Terms
Fraud or misconduct
Repeated negative claims
Harm to the Platform or its users
Outstanding payments will be handled according to these Terms, minus amounts required for refunds or dispute resolution.
Termination by You
You may request termination by contacting admin@paigos.com. All existing bookings and obligations must still be honored.
10. Disclaimers & Limitation of Liability
Disclaimer of Warranties
The PAIGOS Platform is provided “as is” and “as available.” PAIGOS makes no guarantees regarding performance, bookings, or revenue.
Limitation of Liability
To the fullest extent permitted by law:
PAIGOS is not liable for indirect, incidental, special, or consequential damages
Aggregate liability shall not exceed fees collected by PAIGOS related to the disputed transaction
11. Dispute Resolution & Governing Law
Arbitration Agreement
All disputes shall be resolved by binding arbitration, except qualifying small-claims matters.
Rules & Location
Administered by the American Arbitration Association (AAA)
Governed by the Federal Arbitration Act (FAA)
Arbitration location: Orange County, California
Class Action & Jury Waiver
You waive the right to:
Participate in class or representative actions
Trial by jury
Governing Law
California law governs these Terms, except where federal arbitration law applies.
12. Compliance With Laws & Regulations
You agree to comply with:
Consumer protection and advertising laws
Tax obligations (income, VAT, sales tax, etc.)
Travel licensing and regulatory requirements applicable to your jurisdiction
13. Changes to These Terms
PAIGOS may update these Terms at any time. Continued use of the Platform constitutes acceptance. Material changes will be communicated via email or Platform notice.
